1. Acceptance of these terms
These Terms of Use (“Terms”) are a binding agreement between you and Axis37 (“Axis37,” “we,” “us,” or “our”). By accessing or using axis37.comand any related subdomains or pages (the “Site”), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.
These Terms cover the public Site only. They do not replace or modify any separate signed engagement letter, master services agreement, statement of work, or contractor agreement between you and Axis37.
2. Eligibility
The Site is intended for users 18 years of age or older accessing the Site from the United States. By using the Site you represent that you meet these requirements and, if you are acting on behalf of a company or other entity, that you have authority to bind that entity to these Terms.
3. Permitted use
Axis37 grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your own informational and non-commercial purposes. You may not (a) copy, reproduce, republish, resell, sublicense, or distribute Site content; (b) use any data-mining, scraping, or automated extraction tool on the Site without our prior written consent; (c) use the Site or its content to train, fine-tune, or otherwise develop a machine-learning or generative-AI system without our prior written consent; (d) frame, mirror, or otherwise reproduce the Site or any portion; (e) interfere with or disrupt the Site, its servers, or its security; (f) attempt to access portions of the Site not intended for public access; or (g) use the Site in violation of applicable law or in a manner that infringes the rights of any third party.
4. No engagement is created by use of the Site
Nothing on the Site creates a consulting, advisory, professional, or contractor relationship between you and Axis37. Submitting an inquiry, requesting a Search Checkup, requesting a sample Recommendation Report, or otherwise contacting us through the Site does not create such a relationship. An engagement is created only by a separate written agreement signed by both you and an authorized Axis37 representative.
5. Intellectual property
The Site, including all copy, graphics, design, page architecture, frameworks, methods, the Footprint Score, the four-phase system (Foundation, Authority, Conversion, Guidance), the Recommendation Report format, the Axis37 name and logo, and all related trademarks and trade dress, are owned by Axis37 or its licensors and are protected by United States and international copyright, trademark, trade-secret, and other intellectual-property laws.
You may share publicly available URLs to the Site. You may not copy, modify, resell, republish, or claim authorship of Site materials. All rights not expressly granted are reserved.
6. Reliance on information
Content on the Site, including guides, case studies, frameworks, sample reports, and commentary, is provided for general informational purposes and reflects our experience and opinion at the time of publication. It is not legal, financial, tax, professional, or operational advice for any specific operator, company, or situation. Do not rely on the Site as a substitute for professional advice tailored to your circumstances.
7. No guarantee of outcomes
Search visibility, AI-engine citation, ranking, traffic, calls, bookings, cases, leads, revenue, Footprint Score progression, and any other outcome depend on market conditions, competitive activity, operator execution, data quality, platform algorithms, and other factors outside our control. Axis37 does not guarantee any specific ranking, citation, mention share, lead volume, booking count, revenue figure, or other outcome from your use of the Site or from any engagement. Historical case studies are descriptive of past results for specific operators and do not predict results for any other operator.
8. Disclaimer of warranties
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AXIS37 DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TITLE, AND QUIET ENJOYMENT. AXIS37 DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL AXIS37, ITS AFFILIATES, OR ITS OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST DATA, LOST OPPORTUNITY, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF AXIS37 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, AXIS37’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (US $100). MULTIPLE CLAIMS DO NOT ENLARGE THIS LIMIT. THIS LIMITATION APPLIES SEPARATELY FROM ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
10. Indemnification
You agree to defend, indemnify, and hold harmless Axis37 and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys’ fees and court costs, arising out of or relating to (a) your use of the Site, (b) your breach of these Terms, (c) your violation of any law or third-party right, or (d) any content or information you submit to or through the Site.
11. Third-party links and content
The Site may link to or reference third-party websites, tools, platforms, operators, products, services, or content. We do not endorse, control, or assume responsibility for any third-party content or sites, and your use of them is at your own risk and subject to their terms.
12. DMCA — copyright complaints
Axis37 respects the intellectual property of others. If you believe content on the Site infringes your copyright, send a written notice to dmca@axis37.com that includes: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and its location on the Site; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner.
13. Governing law and venue
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of California, without regard to its conflict-of-laws principles. The exclusive venue for any action not subject to arbitration under Section 14 is the state or federal courts located in Riverside County, California, and you consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum.
14. Dispute resolution; binding arbitration
Informal resolution. Before filing a claim, you agree to attempt informal resolution by sending written notice to legal@axis37.com describing the dispute and the relief sought. The parties will negotiate in good faith for sixty (60) days before initiating arbitration or litigation.
Binding arbitration. Any dispute that cannot be resolved informally will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, conducted in Riverside County, California, by a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information. Claims for small-claims-court relief may be brought in small-claims court instead of arbitration.
Class-action and jury waiver. Claims must be brought in an individual capacity only and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. The parties waive any right to a jury trial.
Time limitation. Any claim arising out of or relating to these Terms or the Site must be filed within one (1) year after the claim accrued, or it is permanently barred.
15. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms. Changes to Section 14 do not apply retroactively to disputes for which we have actual notice prior to the change.
16. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including suspected violation of these Terms. Sections 5 through 14 and 17 through 19 survive termination.
17. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so the remaining Terms remain in full force and effect.
18. No waiver; assignment
Our failure to enforce any provision of these Terms is not a waiver of that provision. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
19. Entire agreement
These Terms, together with the Privacy Policy, the Accessibility Statement, and any other notices posted on the Site, are the entire agreement between you and Axis37 regarding the Site and supersede all prior agreements and understandings on that subject.
